Berlin – SMP advised a fund managed by Dutch Rhein Management B.V. (Rhein Invest) on the acquisition of Spiegel Institut Holding GmbH & Co. KG, Spiegel Institut Mannheim GmbH & Co. KG, Spiegel Institut Ingolstadt GmbH and Spiegel Institut Shanghai Co. Ltd. (together Spiegel Institut) in the course of a management buy-in. The former owners will remain shareholders of Spiegel Institut and continue to advise the management. Rhein Invest was advised by a team led by Jörn Wöbke and Moritz Diekgräf. SMP's scope of advice on this transaction included corporate and tax advice on the acquisition and the future group structure as well as corporate and tax structuring in connection with the management participation and the sellers' participation via a „roll-over". The parties agreed not to disclose the purchase price and further details of the transaction.
